Job Overview
We are looking for a qualified Company Secretary to manage corporate governance, statutory
compliance, and secretarial functions across our client portfolio. The ideal candidate
ensures compliance with the Companies Act and SEBI regulations, handles ROC and MCA filings,
and advises management on governance matters. This role offers strong exposure to diverse
corporate structures in a growing professional firm.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013 and SEBI regulations.
- Maintain statutory registers, records, and minutes of meetings.
- File ROC forms (MGT-7, AOC-4, etc.) and handle MCA compliance.
- Convene and manage Board Meetings, AGMs, and EGMs.
- Draft board resolutions, notices, agendas, and secretarial documents.
- Conduct secretarial audits and due diligence assignments.
- Advise management and clients on corporate governance and legal matters.
- Liaise with ROC, regulators, and other authorities as required.
Requirements & Qualifications
- Qualified Company Secretary (CS) — member of ICSI.
- 0–3 years of experience in a secretarial / compliance role.
- Strong knowledge of Companies Act, SEBI, FEMA, and corporate laws.
- Experience with ROC filings and the MCA portal.
- Proficiency in MS Office and compliance software.
- Strong drafting, communication, and organizational skills.
