The registered office of an LLP is the official address where all communications, summons, and notices from the ROC, courts, and tax authorities are served. Any change in this address — within the same city, to a different city, or to another state — must be formally notified to the Registrar of Companies (ROC) by filing Form 15, the prescribed e-form under Section 13 of the LLP Act 2008 read with Rule 17 of the LLP Rules 2009. The filing must be completed within 30 days of the change to avoid additional fees and compliance breakdowns.
The procedure varies by the type of shift — a same-city change is straightforward with partner consent and Form 15; a shift outside the local limits of the existing ROC requires a partner consent route plus Form 15; and an inter-state shift additionally requires consent of all secured creditors, publication of notice in newspapers (one English + one vernacular), and a 30-day objection window before the change becomes effective.
